These entities involve sharing sensitive data, such as organizational strategies and internal processes, with employees, potential partners, or other stakeholders, while ensuring its confidentiality is maintained.
The Receiving Party is any individual or entity who receives confidential information from the Disclosing Party. This may include prospective or current employees, contractors, consultants, or partners. The Receiving Party is entrusted with proprietary information under strict confidentiality terms, agreeing not to disclose or misuse the data. Their role involves evaluating or executing responsibilities related to their engagement while ensuring the protection and integrity of sensitive information provided by the Disclosing Party.

CONFIDENTIALITY AGREEMENT

1. Parties involved:

Disclosing Party: Theodore “Teddy Bear” Schiele, representing Theodore “Teddy Bear” Schiele Consulting, Schiele Consulting Group (Managing Group), and Summit Consultants (Working Group).
Recipient: [Recipient Name], a prospective or current Chapter President or other party receiving confidential information.

2. Purpose:

The Disclosing Party agrees to provide certain confidential and proprietary information to the Recipient for the purpose of evaluating or performing duties related to a role within Summit Consultants or its associated entities.

3. Definition of Confidential Information:

Confidential Information shall include, but is not limited to, organizational strategies, internal processes, data concerning consulting groups’ products, programs, services, business plans, financial information, client lists, and any other information designated as confidential by the Disclosing Party.

4. Obligations of the Recipient:

The Recipient agrees to:

Maintain Confidentiality: Keep all disclosed information confidential and use it solely for the purpose described in this Agreement.
Non-Disclosure: Not disclose, publish, or reveal any Confidential Information to any third party without prior written consent from the Disclosing Party.

Limited Access: Restrict access to Confidential Information to individuals within their organization who need to know such information to perform their duties and ensure they are aware of the confidential nature of the information.

Advisor Consultation: Share Confidential Information with a closely held group of advisors only if such advisors agree to uphold the same standards of confidentiality as set forth in this Agreement.

5. Exclusions from Confidential Information
Confidential Information does not include information that:

Is or becomes publicly available through no fault of the Recipient.

Is independently developed by the Recipient without reliance on the Disclosing Party’s Confidential Information.

Is rightfully received by the Recipient from a third party without a duty of confidentiality.
